These Vault Select Terms apply to purchases of Vault Select Credits and redemptions of Credits for eligible Technical Content made available by Exodus Intelligence, LLC through Vault Select. They supplement your organization's applicable agreement with Exodus (the “Agreement”). If these Terms conflict with a separately signed Agreement, the signed Agreement controls.

Account authority.
You represent that you are authorized to purchase Credits and redeem Credits for the organization associated with your Vault account. You are responsible for keeping your account secure and for purchases and redemptions performed through authorized User accounts.

Prices and payment.
All amounts are stated in United States dollars unless Exodus specifies otherwise. Credits may be purchased through the Vault payment system supported by Stripe or by invoice where offered. By submitting a Credit purchase through checkout, you authorize Exodus and its payment processor to charge the amount shown. Credits become available upon receipt of payment.

Vault Select Credits.
Credits are non-transferable and may be redeemed only for eligible Technical Content made available through Vault Select. Purchased Credits do not expire, subject to the termination provisions of the applicable Agreement. Credits do not accrue interest and may not be transferred, exchanged, or redeemed for cash except as expressly provided in the Agreement.
Credits are purchased at one United States dollar ($1.00) per Credit unless otherwise specified in an applicable Order or invoice. The number of Credits required for each item is displayed at the time of redemption and reflected in the applicable Vault Select Purchase Receipt.

Final transactions.
Except as expressly provided in the applicable Agreement or required by applicable law, payments for Credit purchases are non-refundable and non-cancellable, and Credit redemptions for Technical Content are final.
Nothing in these Terms limits rights or remedies that cannot be waived under applicable law. Any exception will be reviewed and processed in accordance with the applicable Agreement and law.

License term and delivery.
Technical Content redeemed through Vault Select is deemed delivered when it is made available for download in Vault, as reflected in Exodus's system records. The applicable Vault Select Purchase Receipt identifies the Technical Content, the number of Credits redeemed, the transaction date, and the applicable License Start Date and License End Date.
Under the applicable Agreement, the license for Technical Content lasts twelve (12) months from the applicable License Start Date. When the License End Date is reached, download access through Vault becomes unavailable. Any continuing rights or obligations are governed exclusively by the applicable Agreement.

Ownership and permitted use.
A Credit redemption grants only the access and usage rights described in the applicable Agreement. It does not transfer ownership of Exodus intellectual property.

Availability.
Credit checkout, Credit balances, redemption, and Technical Content delivery may depend on third-party services. Exodus may delay completion while a transaction is being verified or reviewed and may reject a transaction that cannot be processed safely or lawfully.

Changes to these terms.
Exodus may update these terms for future transactions. Vault Select will identify the applicable policy version when acceptance is requested. Updated Terms become effective upon acceptance and apply prospectively. Unless expressly agreed, updated Terms do not alter the License Term or scope of rights applicable to Technical Content redeemed before the update.
